with some modifications to Dilligaf's script this will work if you do the following
1. save this as a file say ren.sh
2. run from ksh (. ~/test/ren.sh)
3. Run this from the directory where you want to rename the files.
4. replace ~/test/abc with complete path of the first folder and second folder.
output is as follows
mv /u/user1/test/efg/55.txt 12.txt
mv /u/user1/test/efg/66.txt 34.txt
________________________________________________
#!/bin/ksh
ls -1 ~/test/abc | while read i; do echo ${i}; done > /tmp/uvw_tst
ls -1 ~/test/efg | while read i; do echo ${i}; done > /tmp/xyz_tst
paste /tmp/xyz_tst /tmp/uvw_tst |while read i;
do
echo $PWD/$i
mv $PWD/$i
done

rangu adhi mari simple script ga, do this just cut n paste from the cmd line after you collect the data the followign
[root@server2 tmp]# paste ../uvw_tst ../xyz_tst|while read i;
do
echo mv $i
done
it just echos out result without performing the change and let me know wut u get

Collecting directories

so if you cat now on xyz_tst, uvw_tst, I have this
[root@server2 tmp]# cat xyz_tst

[root@server2 tmp]# cat uvw_tst
a

c
d

so lets say I want to rename in uvw folder to the files in xyw, I go to the uvw directory(you can script this to be in better way, I am just giving you high level script)... and execute this
paste ../uvw_tst ../xyz_tst |while read i;
do
echo mv $i
done
the output will be something like
mv a 1
mv b 2
mv c 3
mv d 4
-----------------------------------------
now pass the script to sh and you will get the files moved
paste ../uvw_tst ../xyz_tst |while read i;
do
echo mv $i
done|sh
here is wut I got
[root@server2 tmp]# ls -ltr uvw
total 0
-rw-r--r-- 1 root root 0 Apr 4 19:57 1

musicfan, he wants that to be like a process, unix lo can be done simpler, but didn't want to suggest..
the below process only works if you are linux or have "paste" installed on your server

I would take same way, just once you get that order
paste first_folder.txt second_foler.txt |while read i;
do
echo mv $i;
done

As long its not recursive in the directory, i will not go for any script.. simple gaa ila chesta since its windows. and also the files will be the same name..
dir /b >first folder.txt
dir /b >second foler.txt
excel sheet open chesi first column lo "rename" esta..
recond column lo import file first folder.txt
third column lo second folder.txt import chesata
this will become
rename xyz1 uvw1
rename xyz2 uvw2 ala enni files unte anni rows vastayi..
file->save as -><file_name.bat> ichi
command prompt lo run chestaa all files will be renamed. |

Ippudu naa dhaggara rendu folders vunnayi
1.Xyz
2.uvw
rendintloo same number of files vuntaayi and the first file in the xyz folder corresponds to the first file in the uvw folder...
kakapothe aa files names different gaa vuntayi.......Now I have to write a shell script which renames the files in the second folder with the same name as in the first folder....
eemina ideas ivvandi.....thikka lesthundhi
